Terms and Conditions

Prepared for publication with the PlancyAI mobile application, website, dashboard, and related services.

These Terms and Conditions, also referred to as the "Terms", govern your access to and use of the PlancyAI mobile application, website, dashboard, and related services.

PlancyAI is provided by Ilia Melnikov, an individual developer based in Armenia.

By downloading, installing, accessing, or using PlancyAI, you agree to these Terms. If you do not agree to these Terms, you must not use the Service.

1. Definitions

For the purposes of these Terms:

"PlancyAI", "we", "us", or "our" means Ilia Melnikov, the individual developer of PlancyAI.

"Service" means the PlancyAI mobile application, website, dashboard, backend systems, AI features, integrations, and any related services we provide.

"App" means the PlancyAI mobile application distributed through Google Play or any other supported distribution channel.

"User", "you", or "your" means any person who accesses or uses the Service.

"User Content" means any content you create, record, submit, upload, edit, import, process, store, export, or generate through the Service, including voice recordings, audio files, text notes, transcripts, summaries, comments, action items, TODOs, reminders, project names, tags, markers, search queries, exported files, and related metadata.

"AI Output" means any content generated by artificial intelligence, speech recognition, or automated processing systems through the Service, including transcripts, summaries, structured note details, action items, classifications, suggested next steps, and search results.

2. Description of the Service

PlancyAI is a voice-first AI notes application designed to help users capture, structure, search, and act on thoughts, ideas, tasks, and project notes.

Depending on your device, operating system, App version, account status, permissions, plan, and feature availability, PlancyAI may allow you to:

• record voice notes;
• create text notes;
• transcribe audio into text;
• generate AI summaries and structured note details;
• extract action items and TODOs from notes;
• organize notes by projects, statuses, markers, filters, and categories;
• search saved notes using text search or voice search;
• review, edit, archive, delete, or mark notes as done;
• create and manage reminders and due-date notifications;
• use a home-screen widget or quick-capture tools;
• export selected content to Google Sheets, where supported;
• export selected content to local device storage or a local vault, where supported;
• sign in using Google Sign-In;
• access account settings, support tools, and account deletion tools.

The Service may change over time. We may add, modify, suspend, limit, or remove features at any time, subject to applicable law and platform requirements.

3. Eligibility

You may use PlancyAI only if you are legally allowed to enter into these Terms and use the Service under the laws of your country.

PlancyAI is not directed to children under 13. If you are below the minimum age required in your jurisdiction to use digital services or consent to personal data processing, you may use the Service only with any required consent and supervision of a parent or legal guardian.

By using the Service, you confirm that:

• you are at least 13 years old;
• you have the legal capacity to accept these Terms;
• your use of the Service does not violate applicable law.

4. Account Registration and Authentication

Some features of the Service may require an account.

You may be able to create or access an account using Google Sign-In or another supported authentication method. You are responsible for maintaining the confidentiality and security of your account and for all activity that occurs under your account.

You agree to provide accurate and current account information and to notify us at hello@plancy.ai if you believe your account has been accessed without authorization.

We may refuse, suspend, or terminate access to the Service if we reasonably believe that an account is being used in violation of these Terms, applicable law, security requirements, platform rules, or third-party service requirements.

5. User Content

You retain ownership of your User Content.

By using the Service, you grant PlancyAI a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, process, reproduce, format, display, analyze, and otherwise use your User Content only as necessary to:

• provide the Service;
• process voice recordings and text notes;
• generate transcripts, summaries, action items, and other AI Outputs;
• operate search, reminders, exports, and integrations;
• provide customer support;
• troubleshoot errors;
• maintain security and service integrity;
• enforce usage limits and prevent abuse;
• comply with legal obligations;
• protect the Service, users, systems, and third-party providers.

This license ends when your User Content is deleted from the Service, except where continued retention is permitted or required by law, security, backup integrity, fraud prevention, dispute resolution, enforcement of these Terms, or legitimate technical reasons described in our Privacy Policy.

You are responsible for your User Content and for ensuring that you have all rights, permissions, and legal bases necessary to record, upload, process, store, share, or export it.

6. Voice Recordings and Consent

PlancyAI allows you to record voice notes and process audio.

You are solely responsible for complying with applicable laws regarding audio recording, consent, privacy, confidentiality, employment, professional secrecy, and data protection.

You must not use PlancyAI to record another person without any consent required by applicable law. If your recording includes personal data, confidential information, trade secrets, professional information, or information about other people, you are responsible for ensuring that you are allowed to process that information through the Service.

We are not responsible for your unlawful recording, disclosure, sharing, storage, export, or use of audio or other User Content.

7. AI Features and AI Output

PlancyAI uses artificial intelligence, speech recognition, and related automated technologies to provide features such as transcription, summarization, note structuring, TODO extraction, smart search, action item suggestions, and other AI-assisted outputs.

AI Outputs may be incomplete, inaccurate, outdated, misleading, inappropriate, or unsuitable for your specific circumstances. You are responsible for reviewing, editing, and verifying AI Outputs before relying on them.

PlancyAI is a productivity and note-organization tool. It does not provide legal, medical, financial, psychological, investment, tax, employment, or other regulated professional advice.

You must not rely on AI Outputs as the sole basis for decisions that may affect your rights, health, finances, safety, legal position, employment, business, or other important interests.

We do not guarantee that:

• transcription will be accurate;
• summaries will preserve all important context;
• action items will be complete or correct;
• search results will find every relevant note;
• reminders will always be delivered on time;
• AI suggestions will be appropriate for your circumstances;
• the Service will identify all errors, omissions, or inconsistencies in your content.

8. Acceptable Use

You agree not to use the Service to:

• violate any applicable law or regulation;
• infringe or misappropriate intellectual property, privacy, publicity, contractual, confidentiality, or other rights;
• record, upload, store, process, or share content that you do not have the right to use;
• harass, threaten, abuse, defame, exploit, or harm another person;
• upload malware, malicious code, harmful files, or unlawful content;
• interfere with or disrupt the Service, servers, networks, security systems, or third-party providers;
• reverse engineer, decompile, modify, or attempt to extract source code from the Service, except where permitted by law;
• bypass, disable, or abuse usage limits, quotas, authentication, payment, or security mechanisms;
• use automated scripts, bots, scraping tools, or similar methods to access the Service without permission;
• attempt to access another user's account, data, device, or exported content;
• use the Service in a way that may overload, damage, impair, or compromise our systems or third-party systems.

We may suspend or terminate your access if we reasonably believe that you have violated these Terms or created risk for PlancyAI, other users, third-party providers, or the public.

9. Plans, Usage Limits, and Feature Availability

PlancyAI may offer free and paid plans. Different plans may include different features, usage limits, quotas, export options, integrations, AI processing limits, transcription limits, storage options, or support levels.

The applicable plan terms, prices, billing period, included features, usage limits, and restrictions will be shown in the App, on the website, in the dashboard, in the relevant checkout flow, or through the applicable app store at the time of purchase or activation.

We may introduce, modify, rename, limit, or discontinue plans or features from time to time. If a change materially affects an active paid subscription, we will provide notice where required by applicable law or platform rules.

Free features may be limited, modified, or discontinued at any time. We may apply fair-use limits, rate limits, daily limits, monthly limits, or other technical restrictions to protect the Service and manage AI, transcription, hosting, and infrastructure costs.

10. Payments, Subscriptions, and Billing

At launch, paid subscriptions are not sold inside the Android App through Google Play Billing.

If paid subscriptions, in-app purchases, or paid digital features are introduced in the Android App in the future, they will be processed in accordance with Google Play payment rules and any other platform requirements that apply.

Certain web-based billing flows may be made available through the PlancyAI website or dashboard where permitted by applicable law and platform rules. Web-based billing may be processed by Stripe or another payment provider.

If you purchase a paid plan, you agree to pay all applicable fees, taxes, and charges shown at the time of purchase. Unless otherwise stated, fees are charged in advance and may be recurring.

Subscriptions may renew automatically unless cancelled according to the rules of the platform or payment provider through which the subscription was purchased.

Payment processing, billing details, cancellation flows, refund rights, chargebacks, payment failures, and renewal management may be handled by Google Play, Stripe, or another payment provider depending on the purchase flow used.

We do not intentionally store full payment card details. Payment card data is processed by the relevant payment provider.

11. Cancellations and Refunds

Cancellation and refund rights depend on the purchase channel.

If you purchase through Google Play, cancellation and refund handling will be governed by Google Play's applicable policies and your Google Play account settings.

If you purchase through the PlancyAI website or dashboard, cancellation and refund handling will be governed by the terms shown at checkout, applicable law, and the relevant payment provider's rules.

Unless required by applicable law or expressly stated otherwise, payments may be non-refundable once the paid period has started.

Cancelling a subscription may stop future renewals but may not automatically refund fees already paid.

12. Google Sign-In and Google Integrations

PlancyAI may allow you to sign in with Google and may support optional Google integrations, such as exporting selected note content to Google Sheets.

When you choose to use Google Sign-In or connect a Google integration, you authorize PlancyAI to access and process the Google account data and Google API data necessary to provide the selected feature.

You are responsible for your use of Google services and for complying with Google's applicable terms and policies.

You may revoke PlancyAI's access through your Google account settings. If you revoke access, some features may stop working.

PlancyAI uses Google user data only as described in its Privacy Policy and only for user-facing features that are visible in the Service.

13. Google Sheets Export

Where supported, PlancyAI may allow you to export selected notes, summaries, details, action items, and related metadata to a Google Sheet selected by you.

You are responsible for:

• selecting the correct spreadsheet;
• ensuring that you have permission to export content to that spreadsheet;
• managing access permissions to the spreadsheet;
• reviewing exported content;
• securing exported information after export.

Once content is exported to Google Sheets, it is also subject to Google's terms, policies, privacy practices, sharing settings, and security controls.

PlancyAI is not responsible for unauthorized access, sharing, modification, deletion, or disclosure of content after it has been exported to a third-party service that you control or choose to use.

14. Local Export and Device Storage

Where supported, PlancyAI may allow you to export selected content to a local folder, local vault, device file system, or other storage location.

Once content is exported outside the App, you are responsible for securing it. Exported files may be accessible through your device file manager, backups, cloud sync tools, third-party apps, or other users of the device.

PlancyAI does not control files after they are exported outside the App.

15. Reminders, Notifications, and Background Processing

PlancyAI may provide reminders, TODO notifications, due-date alerts, AI review notifications, recording notifications, processing status messages, or other notifications.

Notification delivery depends on your device, operating system, app permissions, notification settings, battery optimization, connectivity, app version, and third-party platform behavior.

We do not guarantee that notifications or reminders will be delivered at the intended time or at all. You should not rely on PlancyAI reminders for critical, emergency, legal, medical, financial, safety-related, or time-sensitive obligations.

The App may perform background or foreground processing to support recording, transcription, AI processing, reminders, exports, widget functions, retry logic, synchronization, or other user-facing features.

16. App Permissions

To provide certain features, the App may request device permissions such as microphone access, notification permission, file or folder access, and permissions required for optional integrations.

You may deny or revoke permissions through your device settings. If you deny or revoke a permission, some features may not work or may work with limited functionality.

You are responsible for managing your device permissions and device security settings.

17. Account Deletion and Data Deletion

If you have a PlancyAI account, you may request deletion of your account and associated data through the available deletion paths.

Current deletion options include:

Deleting your account may permanently remove access to your account, notes, transcripts, summaries, action items, reminders, exports, settings, subscription status, and other account-linked information.

Some information may be retained where necessary or permitted for legal compliance, tax, accounting, audit, payment dispute, fraud prevention, security, backup integrity, dispute resolution, enforcement of these Terms, or the establishment, exercise, or defense of legal claims.

Uninstalling the App does not automatically delete your account or server-side data.

If you connected Google Sheets or another third-party integration, you may also need to revoke PlancyAI's access through your Google account or the relevant third-party service.

18. Privacy

Your use of the Service is also governed by our Privacy Policy.

The Privacy Policy explains how PlancyAI collects, uses, stores, shares, transfers, and deletes personal data and other information.

By using the Service, you acknowledge that you have read and understood the Privacy Policy.

If there is a conflict between these Terms and the Privacy Policy regarding personal data processing, the Privacy Policy will control to the extent of that conflict.

19. Third-Party Services

The Service may rely on or integrate with third-party services, including authentication providers, AI providers, speech recognition providers, cloud infrastructure providers, Google APIs, Google Sheets, payment processors, email providers, app stores, operating systems, and other technical providers.

Third-party services are governed by their own terms, policies, availability, security practices, and privacy practices.

We are not responsible for third-party services, including their availability, performance, errors, outages, decisions, policy changes, data handling, pricing, or security incidents, except where required by applicable law.

Your use of third-party services may require you to accept separate terms from those providers.

20. Intellectual Property

PlancyAI, including the App, website, design, branding, logo, user interface, software, source code, features, workflows, text, graphics, icons, and related materials, is owned by or licensed to PlancyAI and is protected by intellectual property laws.

These Terms do not transfer ownership of PlancyAI or any intellectual property rights to you.

You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business productivity purposes, subject to these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service unless expressly permitted by us or by applicable law.

21. Feedback

If you send us feedback, ideas, suggestions, bug reports, comments, or feature requests, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, publish, distribute, and implement that feedback without compensation or obligation to you.

We are not required to treat feedback as confidential unless we expressly agree otherwise in writing.

22. Service Availability and Changes

We aim to provide a useful and reliable Service, but we do not guarantee that the Service will be uninterrupted, secure, error-free, or available at all times.

The Service may be unavailable or limited due to maintenance, updates, technical failures, internet connectivity, device issues, operating system restrictions, third-party provider outages, AI provider limits, quota limits, or events beyond our control.

We may modify, suspend, discontinue, or restrict access to all or part of the Service at any time, subject to applicable law.

23. Beta, Testing, and Experimental Features

Some features may be released as beta, experimental, preview, test, or early-access features.

Such features may be unstable, incomplete, inaccurate, unavailable, or subject to change. We may modify or discontinue beta or experimental features at any time.

You should not rely on beta or experimental features for critical workflows.

24. Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access to the Service if we reasonably believe that:

• you violated these Terms;
• your use creates legal, security, technical, financial, reputational, or operational risk;
• your account has been compromised;
• your use may harm other users, third parties, our systems, or our providers;
• you attempt to bypass usage limits, security controls, payment systems, or authentication;
• we are required to do so by law, court order, regulator, app store, or platform provider.

Upon termination, your right to use the Service will end.

Certain provisions of these Terms will survive termination, including provisions relating to User Content, payments, intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.

25. Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, security, and reliability.

We do not guarantee that:

• the Service will meet your expectations;
• the Service will be uninterrupted, timely, secure, or error-free;
• User Content will never be lost, corrupted, delayed, or unavailable;
• AI Outputs will be accurate, complete, safe, or suitable;
• reminders or notifications will be delivered on time;
• integrations with third-party services will remain available;
• defects or errors will be corrected.

You use the Service at your own risk.

26. Limitation of Liability

To the maximum extent permitted by applicable law, PlancyAI and Ilia Melnikov will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, User Content, use, or other intangible losses arising out of or related to your use of or inability to use the Service.

To the maximum extent permitted by applicable law, our total liability for any claim arising out of or related to the Service or these Terms will not exceed the greater of:

• the amount you paid to PlancyAI for the Service during the three months before the event giving rise to the claim; or
• USD 50.

Nothing in these Terms limits liability where liability cannot be limited under applicable law.

27. Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless PlancyAI and Ilia Melnikov from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use of the Service;
• your User Content;
• your violation of these Terms;
• your violation of applicable law;
• your violation of another person's rights;
• your unlawful recording, processing, sharing, or export of content;
• your misuse of AI Outputs;
• your use of third-party services in connection with PlancyAI.

28. App Stores and Platform Terms

If you download the App from Google Play or another app store, your use of the App may also be governed by the applicable app store's terms, policies, and rules.

The app store provider is not responsible for the Service, User Content, AI Outputs, support, maintenance, claims, or disputes between you and PlancyAI, except as required by applicable platform rules or law.

If there is a conflict between these Terms and mandatory app store rules, the mandatory app store rules will apply to the extent of the conflict.

29. Export Controls and Sanctions

You may not use, download, access, export, or re-export the Service in violation of applicable export control, sanctions, or trade laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive sanctions where use of the Service would be prohibited, and that you are not listed on any applicable sanctions list.

30. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on the website, in the App, in the dashboard, or through another reasonable notice mechanism.

If we make material changes, we may provide notice through the App, website, email, dashboard, app store listing, or other appropriate means.

Your continued use of the Service after the updated Terms become effective means that you accept the updated Terms, to the extent permitted by applicable law.

If you do not agree to the updated Terms, you must stop using the Service.

31. Governing Law

These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law rules, unless mandatory consumer protection laws in your country provide otherwise.

If you are a consumer, you may have mandatory rights under the laws of your country of residence that cannot be excluded by these Terms.

32. Dispute Resolution

Before bringing a formal claim, you agree to contact us at hello@plancy.ai and attempt to resolve the dispute informally.

We will try to resolve the issue in good faith within a reasonable period.

If the dispute cannot be resolved informally, the dispute may be brought before the competent courts of Armenia, unless applicable mandatory law gives you the right to bring claims in another jurisdiction.

33. Miscellaneous

These Terms constitute the entire agreement between you and PlancyAI regarding your use of the Service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, legal reorganization, or transfer of the Service.
